Search for a private label agreement template and you will find documents written for vitamins, cosmetics and coffee. They cover price, payment and liability well, and say nothing about a sealed sample, a measurement sheet or what "production" means for a suit. A suit brand that signs one unchanged has an agreement that is silent on most of what actually goes wrong.
This post is not legal advice; have a lawyer in your market review the final document. It is a map of twelve clauses a suit brand should cover, with the source of each answer — so the agreement says what the factory has actually published or confirmed.
Three sources for every clause
Published: terms the factory already states publicly. Ours are MTM from 1 and bulk from 50 per style; sample 7–14 days; production 14–21 days after measurements or size specs, cloth and construction are locked; production days are not delivery days.
Confirmed in writing per order: anything that changes with the brief — quote, sample charge, packing, shipping terms.
Yours: decisions the brand makes, such as label ownership and which market's law applies.
The twelve clauses
1 · Parties: legal names and addresses as on the invoice (published entity details).
2 · Products: men's suits, jackets and trousers to your specifications (yours + the brief).
3 · Order tracks: MTM from 1; bulk from 50 per style (published).
4 · Reference garment: bulk is made against a sealed sample held by both sides (published sample policy).
5 · Lead times: sample 7–14 days; production 14–21 days after the lock; production is not delivery (published).
6 · The lock: size specs or measurements, cloth and construction confirmed in writing (published; wording agreed).
7 · Changes after lock: in writing, with the clock re-confirmed (confirmed per order).
8 · Price and payment: per written quote and per-order payment terms (confirmed per order).
9 · Labels and IP: your labels, patterns and designs stay yours (yours + NDA).
10 · Quality and remedies: checks against the sealed sample; remake, alteration or credit as agreed (confirmed per order).
11 · Shipping and risk: Incoterm per shipment; who books freight (confirmed per order).
12 · Communication: order thread, named approvers, one language (yours + factory).
The clauses suit brands most often leave out
Clause 4, the reference garment. Without it, "the quality agreed" has no object. Name the sealed sample by style number and date. How sealing works is on our sample policy page.
Clause 6, the lock. A lead-time clause without a start point cannot be checked. Define the lock as three confirmations, and say that the clock runs from the last of them. What starts the clock in practice is in what starts the production clock.
Clause 10, remedies. "Defective goods will be replaced" is not enough for suits. Separate a garment that differs from the sealed sample from a client whose measurements were taken wrongly. The difference between remake and alteration is set out in MTM remake vs alteration, and the remedies menu in credit note, remake or reduction.
Master agreement plus order confirmations
Most brands do better with a short master agreement (clauses 1–4, 6, 9, 12) and a written confirmation for each order (clauses 5, 7, 8, 10, 11 filled for that order). Prices, packing and shipping change; the sealed-sample principle does not. Pattern and design protection usually sits in a separate NDA — see NDA and pattern protection and NNN vs NDA for suit patterns.
A worked example: one clause, two versions
Weak: "Supplier will deliver within a month of order." Better: "Production takes 14–21 days from the date both parties confirm in writing the size specification, cloth and construction for the order. Production time does not include freight, customs or delivery, which are agreed per shipment."
The first version invents a delivery promise nobody controls. The second describes the clock that actually exists. Bulk programmes are on our private label suit manufacturer page. Will you sign our agreement? Send it on the thread; we reply clause by clause in writing.
Can the agreement set a delivery date? It can set a production window from the lock. Delivery depends on freight and customs, which sit outside the factory clock.
Does an MTM-first shop need a full agreement? A short master agreement and order confirmations usually cover MTM from 1. Bulk from 50 is where clauses 4, 6 and 10 matter most.
